PSA-EUROPE Terms of Service

These Terms of Service govern access to and use of the PSA-EUROPE website and pre-contractual communication regarding our digital product and software development services.

2. Scope of Services

PSA-EUROPE provides software development and related professional services, including product planning, design, implementation, integration, support, and consulting under separate project agreements.

3. Use of Website

  • You agree to use this website lawfully and only for legitimate business communication.
  • You must not attempt to interfere with site operation, security, or availability.
  • You must not submit unlawful, misleading, or infringing content.

4. Proposals, Scope, and Change Management

Any statements on the website are informational. Binding obligations, detailed scope, delivery milestones, pricing, and acceptance criteria are defined only in written agreements or approved statements of work.

5. Fees and Payment Terms

Unless otherwise stated in a signed agreement, all fees are quoted per proposal, milestone, or time-and-material model. Payment due dates, invoicing cycles, taxes, and late payment consequences are specified in project documentation.

6. Intellectual Property

  • Pre-existing PSA-EUROPE know-how, frameworks, libraries, and tools remain PSA-EUROPE property unless agreed otherwise.
  • Ownership and transfer conditions for project deliverables are defined in the applicable contract.
  • Third-party software components remain subject to their own license terms.

7. Confidentiality

Both parties must protect confidential information received during discussions and project execution, and use it only for agreed business purposes.

8. Client Responsibilities

  • Provide timely and accurate project requirements and feedback.
  • Ensure you have rights to materials, data, and content supplied for development.
  • Approve milestones within agreed review windows.

9. Warranties and Disclaimers

Services are provided with professional care and skill. Except as expressly stated in writing, website content and services are provided "as is" and no implied warranties are granted.

10. Limitation of Liability

To the maximum extent permitted by law, PSA-EUROPE is not liable for indirect, consequential, special, or incidental damages. Total liability under a project is limited according to the relevant contract terms.

11. Suspension and Termination

We may suspend or terminate communication or service access for material breach, unlawful activity, non-payment, or security risk, subject to contract terms and applicable law.

12. Governing Law and Jurisdiction

Unless otherwise defined in a signed agreement, these terms are interpreted under applicable law of the contracting jurisdiction and disputes are resolved in competent courts of that jurisdiction.
